ProjectWon Terms & Conditions

These Terms & Conditions govern access to and use of the website, software, tools, forms, booking pages, automations, communications, and related services offered by ProjectWon, operated by ProjectWon LLC ("ProjectWon," "we," "us," or "our").

By using our website or services, you agree to these Terms. If you do not agree, do not use our website or services.

1. What ProjectWon Does

ProjectWon provides automation and AI-powered tools for service businesses. Our services may include missed call text-back, appointment booking, AI lead response, customer follow-up, CRM setup, SMS and email automation, AI chat assistants, call recording, lead qualification, and related workflow automation tools.

Our services are designed to help businesses respond to leads faster, organize customer information, schedule appointments, and improve customer communication.

ProjectWon is not a contractor, trade company, emergency service provider, or provider of the underlying services offered by our clients. Any services performed by a third-party service business are the responsibility of that business.

2. Eligibility

You must be at least 18 years old and able to enter into a legally binding agreement to use our services. If you use our services on behalf of a business, you represent that you have authority to bind that business to these Terms.

3. Accounts and Access

Some services may require an account. You are responsible for keeping your login credentials secure and for all activity under your account. You agree to provide accurate, current, and complete information and to update it when needed.

We may suspend or terminate access if we believe your account is being misused, used unlawfully, used in violation of these Terms, or used in a way that could harm ProjectWon, our customers, our clients, or others.

4. Customer Responsibilities

If you are a business customer using ProjectWon, you are responsible for:

  • Making sure your use of the services complies with applicable laws, regulations, industry rules, carrier rules, platform rules, and contractual obligations;
  • Obtaining and maintaining all legally required consents before uploading, importing, texting, emailing, calling, recording, or otherwise contacting any lead, customer, employee, contractor, or other person through or in connection with ProjectWon;
  • Maintaining accurate records of consent, opt-ins, opt-outs, unsubscribe requests, do-not-contact requests, and communication preferences;
  • Honoring all opt-out, unsubscribe, STOP, do-not-call, and do-not-contact requests in a timely manner;
  • Providing accurate business, service, pricing, scheduling, availability, service-area, and customer information;
  • Reviewing AI-generated or automated messages when appropriate;
  • Making sure your calendars, booking rules, routing rules, workflows, and CRM settings are accurate and up to date;
  • Making sure your employees, contractors, and users follow these Terms;
  • Handling your own customer service, service delivery, pricing, refunds, appointment outcomes, disputes, warranties, licensing, insurance, and trade-specific obligations.

ProjectWon may provide tools that help automate communication, booking, lead qualification, and follow-up, but you remain responsible for how those tools are configured and used for your business.

5. Communications, Texts, Calls, and Emails

ProjectWon may help businesses send automated or manual communications by text message, phone call, email, chat, web form, or other channels. These communications may include missed call text-backs, lead responses, appointment confirmations, appointment reminders, customer follow-ups, service-related updates, and other messages related to a customer inquiry or business relationship.

By submitting information through a ProjectWon-powered form, booking page, chat tool, or communication flow, users may receive communications related to their inquiry, appointment, service request, or account. Message and data rates may apply for text messages.

Marketing communications should only be sent where proper consent has been obtained. Recipients must be given a reasonable way to opt out, such as replying "STOP" to text messages or using an unsubscribe link in emails where applicable.

Business customers are responsible for making sure any calls, text messages, emails, or automated outreach sent through or connected to ProjectWon comply with applicable laws, consent requirements, industry rules, carrier rules, platform rules, and customer communication preferences.

5A. SMS Terms and Mobile Messaging

ProjectWon may help businesses send automated and manual text messages, including missed call text-backs, lead responses, appointment confirmations, appointment reminders, follow-ups, and other service-related or business-related communications.

By providing a phone number through a ProjectWon-powered form, booking page, chat, phone flow, or other communication channel, you agree that ProjectWon, our clients, and/or third-party service providers may contact you by phone call or text message about your inquiry, appointment, service request, account, or business relationship. Message and data rates may apply. Message frequency may vary based on your inquiry, appointment activity, customer relationship, and communication preferences.

Where marketing text messages are sent, they should only be sent with legally required consent. Consent to receive marketing text messages is not required as a condition of purchase.

You may opt out of text messages by replying "STOP" or by using another reasonable opt-out method provided in the message or by the applicable business. You may reply "HELP" for help where supported. After you opt out, you may still receive non-marketing messages where allowed by law, such as messages related to active appointments, transactions, account administration, safety, or legal obligations.

Text-message delivery may depend on wireless carriers, messaging providers, registration requirements, campaign approvals, phone-number reputation, recipient settings, anti-spam filtering, device settings, service availability, and other factors outside ProjectWon's control. ProjectWon does not guarantee that all text messages will be delivered, received, opened, or read.

Clients are responsible for providing accurate opt-in information, consent records, compliant message content, sender information, business information, and campaign details where required for messaging registration, carrier review, platform review, or legal compliance.

Business customers are solely responsible for obtaining and maintaining all required text-message consents, honoring opt-out requests, maintaining accurate consent records, and ensuring their use of automated calls, texts, and emails complies with applicable law, carrier requirements, platform rules, and customer communication preferences.

5B. Email Marketing, Unsubscribes, and Do-Not-Contact Requests

ProjectWon may send service-related emails, transactional emails, onboarding emails, support emails, billing emails, and, where permitted, marketing emails. Marketing emails should include a clear way to unsubscribe or opt out of future marketing emails.

If you unsubscribe from marketing emails, we may still send non-marketing communications where allowed by law, including messages related to active services, invoices, contracts, security, account administration, customer support, or legal obligations.

Business customers are responsible for honoring unsubscribe, opt-out, do-not-call, do-not-text, do-not-email, and other do-not-contact requests from their customers and leads. Business customers should not use ProjectWon to contact anyone who has opted out unless the communication is legally permitted.

6. Call Recording and Message Monitoring

Some ProjectWon services may allow call recording, call summaries, message summaries, chat summaries, transcription, or conversation analysis. If call recording, transcription, summaries, or monitoring are enabled, the business customer is responsible for providing all required notices and obtaining all required consents from callers, customers, employees, contractors, or other participants.

Recording, wiretapping, monitoring, and consent laws vary by state and situation. Business customers should consult legal counsel before enabling call recording, transcription, monitoring, or similar features, especially if calls may involve people located outside Texas.

ProjectWon does not guarantee that call recording, transcription, or summaries will be error-free, complete, or legally sufficient.

7. AI and Automation Disclaimer

ProjectWon may use artificial intelligence, automation, rules-based logic, or third-party service providers to generate responses, classify leads, recommend urgency, suggest scheduling options, book appointments when availability exists, and assist with follow-up.

Depending on the client's settings, ProjectWon may automatically respond to leads, qualify inquiries, send SMS or email messages, and book appointments without manual approval from the business. Business customers are responsible for reviewing their settings, calendar availability, service rules, pricing information, communication preferences, and appointment workflows to make sure the system operates correctly for their business.

AI and automation may produce incomplete, inaccurate, delayed, or inappropriate outputs. Business customers are responsible for reviewing, approving, and supervising how automated tools are used in their business. ProjectWon does not guarantee that AI outputs will be accurate, complete, compliant, or suitable for every situation.

ProjectWon should not be used as a replacement for human judgment in emergencies, safety-critical situations, legal matters, medical matters, financial matters, or regulated professional advice.

8. No Emergency Services

ProjectWon is not an emergency response service. If there is an emergency, including a fire, gas leak, electrical hazard, carbon monoxide risk, medical emergency, active water damage, security threat, or immediate safety concern, call 911 or the appropriate emergency service provider.

Business customers should not rely on ProjectWon to identify, prioritize, route, or resolve every urgent or emergency situation.

8A. No Legal Advice or Compliance Guarantee

ProjectWon provides software, automation, CRM, communication, and workflow support tools. We do not provide legal advice, compliance advice, tax advice, accounting advice, insurance advice, or professional trade advice.

ProjectWon may provide features that support communication, automation, consent tracking, booking, call recording, and recordkeeping, but we do not guarantee that a client's use of the services complies with all laws, regulations, carrier rules, platform rules, industry rules, licensing requirements, privacy laws, text-message rules, email rules, call-recording rules, or other obligations.

Business customers are responsible for obtaining their own legal, compliance, licensing, insurance, and professional advice before using the services.

8B. Separate Agreements and Order Terms

If a client signs or accepts a separate proposal, invoice, order form, statement of work, master services agreement, service agreement, or other written agreement with ProjectWon LLC, that agreement will control over these Terms for the specific services, pricing, payment terms, cancellation terms, usage limits, contract duration, and obligations covered by that agreement.

These website Terms apply generally to the website and services, but they do not override a signed or otherwise accepted written agreement between ProjectWon LLC and a client unless that agreement says otherwise.

9. Payment, Subscriptions, and Fees

ProjectWon may charge a setup fee and a monthly subscription fee. Pricing may vary based on the products, features, usage levels, automations, communication volume, integrations, and services selected by the client. Unless otherwise stated in writing, payments will be handled by invoice rather than direct checkout through the website.

Client agreements may be month-to-month or contract-based, depending on the proposal, invoice, service agreement, or written agreement between ProjectWon and the client. Contract-based clients are responsible for the payment obligations listed in their agreement.

Invoices must be paid by the due date listed on the invoice. Late or unpaid invoices may result in delayed onboarding, paused services, suspended automations, or account termination. Certain third-party usage costs, such as messaging, calling, AI usage, CRM usage, or integration fees, may be billed separately or included in the monthly subscription depending on the client agreement.

Refunds are handled on a case-by-case basis unless a written agreement states otherwise. Setup fees, onboarding work, configuration work, implementation work, and subscription fees may be non-refundable once work has started or a billing period has begun, depending on the situation and the applicable agreement.

We may change pricing, product packages, usage limits, or service plans by giving reasonable notice or by providing updated pricing in a proposal, invoice, service agreement, or written communication. Continued use of the services after a change becomes effective means you accept the updated pricing or terms.

10. Third-Party Services

ProjectWon may connect with or rely on third-party service providers, including CRM systems, phone systems, text messaging providers, email providers, analytics tools, website hosting providers, calendar tools, payment processors, advertising platforms, AI service providers, data storage providers, and integration tools.

We are not responsible for third-party services, outages, delays, errors, data loss, downtime, security incidents, pricing changes, feature changes, deliverability issues, carrier filtering, calendar-sync problems, AI provider errors, CRM issues, payment processor problems, or other issues caused by third-party providers or external systems.

Your use of third-party services may be governed by their own terms, privacy policies, pricing, usage limits, and rules. ProjectWon does not control and is not responsible for those third-party terms, policies, systems, or practices.

11. Intellectual Property

ProjectWon, including our website, branding, software, workflows, designs, text, graphics, automations, templates, systems, processes, and other materials, is owned by ProjectWon or its licensors and is protected by intellectual property laws.

You may not copy, reproduce, resell, reverse engineer, modify, distribute, or create derivative works from ProjectWon materials unless we give you written permission.

Business customers retain ownership of their own customer data, business data, and content they provide to us, subject to the rights needed for us to provide, support, improve, and secure the services.

12. Acceptable Use

You agree not to use ProjectWon to:

  • Violate any law or regulation;
  • Send spam, fraudulent messages, deceptive communications, or unlawful marketing;
  • Contact people without required consent;
  • Harass, abuse, threaten, or harm others;
  • Upload malware, viruses, or harmful code;
  • Interfere with or disrupt the services;
  • Attempt to access systems, accounts, or data without permission;
  • Misrepresent your identity, business, services, pricing, or availability;
  • Use the services for illegal, unsafe, or deceptive business practices.

13. Confidentiality

If we receive confidential business information from you, we will use reasonable efforts to protect it and use it only to provide, support, improve, and secure the services, or as otherwise allowed by agreement or law.

You agree not to disclose non-public information about ProjectWon, including pricing, software features, technical systems, templates, workflows, or business processes, unless we allow it in writing.

14. Service Availability

We aim to provide reliable services, but we do not guarantee that the website or services will always be available, uninterrupted, secure, or error-free. Services may be unavailable because of maintenance, updates, internet issues, third-party outages, cyberattacks, carrier filtering, platform issues, or other events outside our control.

15. Disclaimers

ProjectWon is provided on an "as is" and "as available" basis. To the fullest extent allowed by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, reliability, deliverability, security, and error-free operation.

We do not guarantee any specific number of leads, appointments, booked jobs, sales, revenue, profit, conversion rate, response rate, customer satisfaction level, operational savings, employee productivity improvement, or business outcome.

We do not guarantee that messages will always be delivered, calls will always connect, appointments will always be booked correctly, calendars will always sync, automations will always trigger, AI outputs will always be accurate, or third-party systems will always work.

We do not guarantee that use of ProjectWon will make any business compliant with applicable laws, rules, regulations, carrier requirements, platform policies, privacy obligations, text-message rules, email rules, or call-recording laws.

16. Limitation of Liability

To the fullest extent allowed by law, ProjectWon and its owners, employees, contractors, partners, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost business opportunities, service delays, customer disputes, or reputational harm.

To the fullest extent allowed by law, our total liability for any claim related to the website or services will not exceed the amount you paid to ProjectWon for the services giving rise to the claim during the three months before the event that caused the claim, or $100 if no paid services were provided.

17. Indemnification

You agree to defend, indemnify, and hold harmless ProjectWon and its owners, employees, contractors, partners, and affiliates from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorney's fees, arising from your use of the services, your violation of these Terms, your violation of law, your customer communications, your business operations, your failure to obtain consent, your failure to honor opt-outs, or your misuse of customer data.

18. Termination

We may suspend or terminate your access to the website or services if you violate these Terms, fail to pay required fees, create risk for ProjectWon or others, or use the services in a way we believe is unlawful, abusive, deceptive, non-compliant, or harmful.

You may stop using the services at any time, subject to any payment obligations, contract commitments, notice requirements, cancellation terms, or minimum terms stated in your proposal, invoice, service agreement, or written agreement.

18A. Data Export, Deletion, and Retention After Cancellation

Upon termination or cancellation, ProjectWon may retain client data, customer data, account records, communication records, billing records, consent records, logs, backups, and related information for a reasonable period as needed for legal compliance, billing, tax, accounting, dispute resolution, fraud prevention, security, backup, audit, operational, or legitimate business purposes.

Clients may request export or deletion of certain data by contacting ProjectWon at contact@projectwon.ai. Data export or deletion may be limited by technical restrictions, third-party platform limitations, legal obligations, backup systems, security needs, active disputes, unpaid invoices, or the rights of other parties.

ProjectWon is not responsible for data that remains stored in third-party systems controlled by the client, connected platforms, external providers, or other businesses.

19. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes will be handled in the state or federal courts located in Texas, unless a separate written agreement states otherwise.

20. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date. Continued use of the website or services after changes are posted means you accept the updated Terms.
